“Today marks a defining milestone for Enstructure and LOGISTEC and the beginning of an exciting new chapter for our combined team,” said Philippe De Montigny, Co-CEO of Enstructure. “Our organizations share a deep commitment to safety, operational excellence, and customer service. By bringing together Enstructure’s and LOGISTEC’s talented employees, longstanding customer partnerships, and complementary terminal networks and capabilities, we are creating new opportunities for our customers, our people, and the communities we serve across the United States and Canada.”

“The acquisition of LOGISTEC advances our vision to build a modern terminal and logistics company that connects critical infrastructure, warehousing and supply chain services into one integrated marine terminal network,” said Matthew Satnick, Co-CEO of Enstructure. “Together with LOGISTEC, we have the scale, capabilities, and talent to provide an enhanced service offering and greater market access for our customers. We are excited to invest in our marine terminal network and use our expanded scale, expertise and connectivity to enable our customers to move cargo more efficiently and reliably.”

The combined network spans more than 3,000 waterfront acres, including approximately 12.5 million square feet of industrial warehousing and handles approximately 70 million tons of cargo annually. Across the network, Enstructure provides marine terminal, stevedoring, cargo-handling, warehousing, trucking and multimodal logistics services for bulk, breakbulk, container, automotive/RoRo and project cargos. Enstructure will continue to invest in safety, its people, technology and customer-focused solutions.

Enstructure will maintain LOGISTEC’s head office in Montréal and continue to invest in and grow its Canadian operations. The company intends to build upon the longstanding partnerships with employees, customers, communities, Indigenous partners, and port authorities that have been an integral part of LOGISTEC’s success for more than 70 years. Blue Wolf Capital Partners, which was the majority owner of LOGISTEC prior to the transaction, will remain an investor in the combined business.

“This transaction brings together highly complementary businesses anchored by critical infrastructure, deep operating expertise, and strong customer relationships across North America,” said Mark Rutledge, Senior Managing Director at Blackstone Credit & Insurance. “Since 2022, our nearly $2 billion total investment across Enstructure’s capital structure reflects BXCI’s strong conviction in the company and our ability to provide flexible capital at scale. We are proud to deepen our partnership and support the company’s next phase of growth.”

The completion of the transaction represents a pivotal investment in North American transportation infrastructure and reinforces the role of North American ports and logistics assets in supporting global trade, economic growth, and supply chain resiliency. Financial terms of the transaction were not disclosed.
